[영문계약서] Action Sections에서 다루는 내용: Term(기간) 과 Comma (콤마)사용법

이번에는 Term과 Comma 사용법에 대해 간단히 설명을 하도록 하겠습니다.

 

Term은 계약 기간으로 Definition부분에서 미리 언급할 수 있습니다.

 

1.Term의 기본 문구는 다음과 같습니다.

 

Term. This Agreement's term begins on January 1, 2019 and ends on December 31, 2019 (the "Term")

 

시작 날짜와 종료 날짜를 명확히 언급할 수 있습니다.

 

시작 날짜를 서명일로 표현할 수 있습니다.

 

예를 들어

 

Term. This Agreement's term begins on the date that both parties execute and deliver this Agreement and ends on December 31, 2019.

 

이렇게 표현할 수 있습니다. 여기서 살펴 볼 것은 Execute란 동사는 Sign과 동일한 의미를 갖고 있다는 사실입니다.

 

2. 자동 갱신 조약 또는 Evergreen provision

계약 만기가 돌아 왔을 때, 양 당사자가 어떠한 행동을 취하지 않는 경우, 계약 자동 갱신이 되는 경우가 있습니다. 이 때, Term은 두개로 나눠집니다. 한 Term은 Initial term이고 다른 Term은 Successive term입니다. 첫 계약 Term이 Initial term이고, 자동 갱신 기간이 Successive term으로 구분할 수 있습니다. 

 

Renewal. To exercise the option to terminate this Agreement at the end of the Initial Term, a party must deliver a written notice of termination to the other party that is received no later than fifteen business days before the last day of the Initial Term.

 

Renewal 갱신 조건을 위와 같이 설명을 할 수 있습니다. 자동 갱신 조약을 Evergreen provision이라고 합니다.

 

3. Comma 사용법

콤마의 위치에 따라, 계약서 의미가 완전히 바뀔 수 있습니다. 그렇기 때문에, 콤마 위치를 유의 깊게 살펴 볼 필요가 있습니다. 다음 예문을 살펴보도록 합시다.

 

버전1

Term. This Agreement is enforceable for a period of three years from the date both parties made, and thereafter for successive three-year terms, unless and until terminated by one-year prior notice in writing by either party.

 

버전2

Term. This Agreement is enforceable for a period of three years from the date both parties made. After the initial term, this Agreement is still enforceable for successive three-year terms, unless and until terminated by one-year prior notice in writing by either party.

 

버전1과 버전2의 차이를 살펴보면 다음과 같습니다. 버전1은 문장 종결이 없고, ","로 모두 이어져 있습니다. 반대로, 버전2는 문장 종결이 있습니다.

 

버전1에서 "unless and until terminated by one-year prior notice in writing by either party" 조건은 ,and이전과 이후 모두 적용이 될 수 있습니다. 따라서, 비전1이서는 Termination notice를 Initial term기간에도 가능한 것 처럼 해석될 수 있습니다.

 

반대로 버전2에서 "unless and until terminated by one-year prior notice in writing by either party"는 After the initial term 뒤에만 적용됩니다. 따라서 Termination notice는 Initial term기간 안에 효력이 있을 수 없습니다.

 

콤마가 찍혀 있으면, 뒤에 있는 조건문이 앞에 있는 전체 문장에 영향을 줄 수 있습니다. 그렇기 때문에, 콤마는 유의하여 사용해야 합니다.
